Meekono Terms of Use

Welcome to the Meekono wholesale e-commerce platform which is owned by MEEKONO LIMITED, a UK-regstered company.  

The Meekono e-commerce wholesale platform is available at www.meekono.com, or at any other address that may be substituted for this one (the “Platform”). 

These terms of use (the “ToU”) set out the terms and conditions on which Users may access and use the Platform and the Service. The ToU apply to any Platform User, whether or not this User is a Buyer or Seller.  

You’ll need to create an account with Meekono to use the platform.  

During the effective period, Meekono will provide the Service of promoting and facilitating the sale of products on the e-commerce website www.meekono.com, and through other direct or indirect interactions and events, and to transact and receive order payments on behalf of Sellers and Buyers. A. You must be 18 years or older to use our Services.  

• Provide accurate information about yourself, your activities and your products. 
• You’re solely responsible for any activity on your account. If you’re sharing an account with other people, then the person whose financial information is on the account will ultimately be responsible for all activity. If you’re registering as a business entity, you personally guarantee that you have the authority to agree to the Terms on behalf of the business. Also, your accounts are not transferable. 

E.          Protect your password. As we mentioned above, you’re solely responsible for any activity on your account, so it’s important to keep your account password secure.  

F.          These ToU don't create any agency, partnership, joint venture, employment, or franchisee relationship between yourself and Meekono. 

Definitions 

“Content”: any content that is supplied by a Registered User on the Platform, including, but not limited to, any Product, data, information, text, listed object, description, name, alias, sign, photograph, picture, sound, video, logo, and any other item supplied by the Registered User on the Platform, including at the time of its registration, in an advertisement, an e- mail, or on a Seller’s sales area/account.  

“Seller” : a Registered User presenting, offering, distributing, selling Products through the Platform, including when this Registered User acts for and/or on behalf of another Registered User.  

 “Buyer”: a Registered User who is willing to purchase, or who purchases, the Products through the Platform.  

“Date of Confirmation”: the date on which the Buyer, via the Platform, confirms the conformity of the order, in compliance with the terms of their order. 

“Invoice”: the invoice issued by Meekono, for and on behalf of the Seller, and payable by the Buyer, relating to the 

Products that were ordered by the Buyer through the Platform, received, and confirmed in accordance with the ToU.  “Invoicing Agreement”: the agreement entered into between Meekono and the Seller, by which the Seller agrees to entrust Meekono, in compliance with applicable rules, with the processing and issuing of its Invoices via the Platform.  

“Registered User”: any User who has registered on the Platform, and which registration was approved by Meekono.  

“Party”: means, individually or together, Meekono and/or the User and/or the Registered User and/or the Buyer.  

“Product”: any product that a Distributor presents or puts up for sale through the Platform.  

“Service”: all of the Meekono online services, which are the property of Meekono, and which are made available to a Registered User through the Platform.  

“User”: means any professional who accesses the Platform, regardless of whether this professional is a Registered User or not.  

1.  Your Content 

Content that you post using our Services (like shop names, profile pictures, listing photos, listing descriptions, reviews, comments, videos, usernames, etc.) is your content (“Your Content”).  

A.          Responsibility for Your Content. You understand that you are solely responsible for your Content. You represent that you have all necessary rights to your Content and that you’re not infringing or violating any third party’s rights by posting it. 

B.          Permission to Use Your Content. By posting your Content and your Products through our Services, you grant Meekono a license to use it. We don’t claim any ownership to your Content, but we have your permission to use it to help Meekono market its services and grow users.  

C.          Rights You Grant Meekono. By posting your Content and your Products, you grant Meekono a non-exclusive, worldwide, royalty-free license to use, display, edit, modify, reproduce, distribute, store, and prepare derivative works of your Content. This allows us to provide the Services and to promote Meekono, your products, or the Services in general.  

For example: if you upload a photo of a listing on Meekono, we have permission to display it to buyers, and we can resize it for our mobile app; if you post a description in English, we can translate it into French so a buyer in Paris can learn the story behind your item; and we can feature a photo of your product on our homepage, in one of our blogs or on a social media ad to help promote your product and Meekono. 

We may use the images to direct Buyers to Meekono.com and not directly to your social media or e-commerce footprint because Meekono is not a 'discovery' platform but a trading platform.   

2.  Use of Our Services 

Meekono provides the following Services to and on behalf of Users: 

-        Selecting Sellers and assisting them to set up a virtual showroom on the Platform 

-        Invoicing, Receiving and Disbursing payments from Buyers on behalf of Sellers for Products sold 

-        Digital Marketing to potential Buyers via the platform and social media platforms 

-        Direct Marketing to potential Buyers  

-        Development and provision of educational materials on topics that relate to creative production, wholesaling, export and artisanal business development 

-        Advocacy to policy-making, social impact, financial inclusion bodies and any other relevant bodies that impact Meekono Users.

-         Developing local partner networks and opportunities to assist with developing Meekono Users 

By visiting or accessing the Platform and by using the Service, the User expressly consents, without restriction, to be legally bound by all of the provisions of the ToU. If the User does not agree with these ToU, this User undertakes to immediately stop visiting the Platform and, as the case may be, to refrain from registering with the Platform.  

Access to the Platform is available to any User, whether a Registered User or not. However, access to the Services and the use of all of its functionalities, require the prior registration of the User as a Registered User.  

Meekono reserves the right to accept or refuse a User’s application for registration, in accordance with the terms specified on the Platform and/or at the time of registration. The registration of a legal entity as a Registered User may only be made by an individual authorised to represent such legal entity. 

To access all of the functionalities of the Platform and the Service and to order Products, the User must first register with the Platform as a Registered User and provide all of the requested information and documents, so that it can have access to all of the functionalities of the Platform and the Service. 

License to Use Our Services. We grant you a limited, non-exclusive, non-transferable, and revocable license to use our Services - subject to the Terms and the following restrictions in particular: 

A.          Don’t Use Our Services to Break the Law. You agree that you will not violate any laws in connection with your use of the Services. This includes any local, state, federal, and international laws that may apply to you.  

B.         Share Your Ideas. Your suggestions and ideas can help us improve your experience and our Services. Any unsolicited ideas or other materials you submit to Meekono (not including Your Content or items you sell through our Services) are considered non-confidential and non-proprietary to you. You grant us license to use and publish those ideas and materials for any purpose, without compensation to you. 

3.  Charges

Meekono Transaction Commission 

Meekono shall take a Transaction Commission of up to 20% on top the Seller's wholesale price when an order is placed on the platform as compensation for providing our Services. 

Meekono takes a zero % Transaction Commission on orders where a Seller and Buyer who have an existing trading relationship prior to registering as Users with Meekono, i.e. they have declared and provided proof of a prior trade and payment having taken place before joining Meekono. The zero % Commission applies permanently. 

Meekono One-Off Joining Fee 

The Joining Fee is a non-refundable fee to be paid by the Seller to Meekono as a condition to the commencement of these Terms and Conditions. During the effective period, the Joining Fee is waived for all participating Sellers. 

Payment Transaction Processing Fee  

You shall pay to Meekono the Payment Transaction Processing Fee (up to 5% in total for Paypal/ credit card and bank transfer transactions), by way of retention of such amount by Meekono every time an order is placed. This fee is set by external financial services providers and may change from time to time, outside the control of Meekono. 

Meekono will display on the Seller’s Dashboard:  

(i)              the Statement showing the Website Product(s) sold  

(ii)            (ii) the Net Price(s) at which the Website Product(s) were sold;  

(iii)           (iii) the Receipts; and  

(iv) the amount of the Fees payable based on the Receipts. 

Meekono shall remit to the Seller immediately payment for orders, being the Receipts less the Commission Fee & Payment Transaction Processing Fee. 

Meekono shall be entitled to deduct from the amounts payable to the Seller pursuant to these Terms and Conditions any amounts paid by Meekono to the Customer in respect of any full or partial refund provided. 

Returns Charge 

Where a Customer returns an order using a return delivery method arranged and paid for by Meekono, the Seller agrees to reimburse Meekono a fixed amount of the returns cost for each shipment by way of retention of such amount by Meekono. 

4.  Accounts and Records  

Meekono will collect all monies due to Sellers in respect of sales of your products and will hold the funds until certain pre-agreed milestones have been met by both parties, these terms having been specified at the time the order is placed, for example: 

(i)              Acceptance of the order and confirmation of delivery date  

(ii)            Completion of the order and booking of shipping service 

(iii)           Confirmation of the order by Buyer up to xx days after receipt of the order  

5.  Termination

Termination By You. We'd hate to see you go, but you may terminate your account with Meekono at any time from your online store account settings. Terminating your account will not affect the availability of some of your Content that you posted through the Services prior to termination.  

Termination By Meekono. We may terminate or suspend your account (and any related accounts) and your access to the Services at any time, for any reason, and without advance notice. If we do so, it’s important to understand that you don’t have a contractual or legal right to continue to use our Services, for example, to sell or buy on our websites or mobile apps. Meekono may refuse service to anyone, at any time, for any reason. 

We May Discontinue the Services. Meekono reserves the right to change, suspend, or discontinue any of the Services at any time, for any reason. We will not be liable to you for the effect that any changes to the Services may have on you, including your income or your ability to generate revenue through the Services. 

6.  Warranties and Limitation of Liability 

Items You Purchase. During the effective period, you understand that Meekono does not manufacture, store, or inspect any of the items sold through our Services. We provide the venue; the items in our marketplaces are produced, listed, and sold by independent sellers, so Meekono can't and does not make any warranties about their quality, safety, or even their legality. Any legal claim related to an item you purchase must be brought directly against the seller of the item. You release Meekono from any claims related to items sold through our Services, including for defective items, misrepresentations by sellers, or items that caused physical injury (like product liability claims). 

Content You Access. Meekono is not responsible for the accuracy, copyright compliance, legality, or decency of content posted by users that you accessed through the Services. You release us from all liability relating to that content. 

People You Interact With. You can use the Services to interact with other individuals, either online or in person. However, you understand that we do not screen users of our Services, and you release us from all liability relating to your interactions with other users.  

WARRANTIES. MEEKONO IS DEDICATED TO MAKING OUR SERVICES THE BEST THEY CAN BE, BUT WE’RE NOT PERFECT 

AND SOMETIMES THINGS CAN GO WRONG. YOU UNDERSTAND THAT OUR SERVICES ARE PROVIDED “AS IS” AND 

WITHOUT ANY KIND OF WARRANTY (EXPRESS OR IMPLIED). WE ARE EXPRESSLY DISCLAIMING ANY WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE, AS WELL AS ANY WARRANTIES IMPLIED BY A COURSE OF PERFORMANCE, COURSE OF DEALING, OR USAGE OF TRADE. 

WE DO NOT GUARANTEE THAT: (I) THE SERVICES WILL BE SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR 

LOCATION; (II) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (III) THE SERVICES WILL BE FREE OF VIRUSES OR OTHER 

HARMFUL MATERIALS; OR (IV) THE RESULTS OF USING THE SERVICES WILL MEET YOUR EXPECTATIONS. YOU USE THE SERVICES SOLELY AT YOUR OWN RISK. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. 

7.  Indemnification

We hope this never happens, but if Meekono gets sued because of something that you did, you agree to defend and indemnify us. That means you’ll defend Meekono and hold us harmless from any legal claim or demand (including reasonable lawyer’s fees) that arises from your actions, your use (or misuse) of our Services, your breach of the Terms, or your account’s infringement of someone else’s rights. 

We reserve the right to handle our legal defense however we see fit, even if you are indemnifying us, in which case you agree to cooperate with us so we can execute our strategy. 

8.  Disputes with Other Users 

If you find yourself in a dispute with another User of Meekono’s Services or a third party, we encourage you to contact the other party and try to resolve the dispute amicably. 

Release of Meekono. You release Meekono from any claims, demands, and damages arising out of disputes with other users or parties. 

9.  Changes to the Terms 

We are a growing start-up business and therefore we may update these Terms from time to time. If we believe that the changes are material, we’ll let you know by posting the changes through the Services and/or sending you an email or message about the changes. That way you can decide whether you want to continue using the Services. Changes will be effective upon the posting of the changes unless otherwise specified. You are responsible for reviewing and becoming familiar with any changes. Your use of the Services following the changes constitutes your acceptance of the updated Terms.
